Your LLC, Filed Right And Taxed On Purpose

We file your Articles of Organization with the State of Michigan and settle how the LLC will be taxed before it goes in, so your first tax season holds no surprises.

LLC Formation In Michigan

Forming an LLC in Michigan is not complicated. Forming the right one takes more thought: who the members are, how profit will leave the business, whether you will hire and how the IRS will see the arrangement. Those answers shape your first tax return far more than the filing does.

We handle the filing and the thinking together. Your Articles of Organization go to the State of Michigan once the tax treatment is settled, and the federal EIN application, the bank account and the books follow in the right order. It is one part of our business formation and registration services, and the same team stays on to keep the books and prepare the returns.

If the business is already turning a healthy profit, we will also look at whether an S corporation election belongs in the plan from the start.

How Your LLC Gets Taxed Is The Real Decision

The state sees one kind of entity. The IRS sees several, and yours decides the return you file every year.

Single-Member LLC

By default the IRS disregards a single-member LLC for income tax. Profit lands on Schedule C of your personal 1040 and you pay self-employment tax on it. Simple to file, and often exactly right for a newer business.

Multi-Member LLC

Two or more members and the default becomes partnership treatment. The LLC files Form 1065 every year and each member receives a K-1. How profit and losses are split should match what the members actually agreed to.

LLC Taxed As An S Corporation

Once profit is steady, an LLC can elect S corporation treatment with Form 2553. That can lower self-employment tax, and it also brings payroll, a reasonable salary for working owners and a separate return.

Talking Through The Operating Agreement Early

Michigan does not ask you to file an operating agreement with the state, which is exactly why so many LLCs never get one. For two or more members, it is where the questions that end friendships get answered in advance: who puts in what, how profit is split and what happens when someone wants out.

We are not attorneys, and an attorney should draft the agreement itself where one is needed. What we bring is the accounting side: how capital accounts, allocations and distributions will actually work on the return, so the document your attorney writes and the partnership return we prepare on Form 1065 tell the same story.

From First Call To A Bank Account In The LLC's Name

The order is what keeps the legal name, the tax ID and the bank records in agreement.

1

Talk Through Ownership And Taxes

We cover members, expected profit, hiring plans and how you want to be paid, then agree on the tax treatment.

2

File The Articles Of Organization

We prepare the Articles with the exact legal name and your registered agent details and file them with the state's Corporations Division.

3

Get The EIN

Once the state approves the filing, we apply for the EIN and keep the IRS confirmation letter on file.

4

Open The Account And The Books

You open the bank account in the LLC's name, and we set up QuickBooks Online so the first transaction lands under the right entity.

LLC Questions Michigan Owners Bring Us

How long does it take to form an LLC in Michigan?

Mostly it depends on the state's processing queue when you file, which is why we like to start well before you need the bank account open. The conversation about structure and taxes usually takes longer to settle than the filing itself.

Can I put myself on payroll as the owner of my LLC?

Not while the LLC is taxed as a sole proprietorship or partnership. Those owners take draws or distributions rather than a paycheck and pay self-employment tax on their share of profit. To be on payroll, the LLC would need to elect to be taxed as a corporation, most often as an S corporation, which brings its own requirements.

I already formed my LLC online. Can you still help?

That is common, and usually fine. We review the Articles on file, confirm how the IRS classifies the LLC, check that the EIN, the bank account and the state record carry the same name, and put the annual statement due each February 15 on our calendar. Anything that needs fixing is flagged before tax season.
