Stay In Good Standing Without Tracking The Date

Every Michigan LLC and corporation owes the state a filing each year. We prepare it, submit it on time and keep the confirmation, so good standing is already in place when a loan or a sale needs it.

Annual Report Filing For Michigan Businesses

It is a short filing, and that is exactly the problem. The reminder lands in an inbox nobody checks, the date comes and goes, and nobody notices until a bank, a buyer or a new vendor asks for proof that the business is in good standing.

In Michigan, LLCs file an annual statement due February 15, and for-profit corporations file an annual report due May 15. We put your entity's date on our calendar, confirm the details with you, file it and keep the confirmation with your records. It is part of our business formation and registration services, and it runs quietly in the background every year.

Two Deadlines, Depending On What You Formed

The date and the filing both depend on the kind of entity the State of Michigan has on record.

LLCs File By February 15

Every Michigan LLC files an annual statement with the state by February 15. It confirms the agent and registered office on record, and filing it on time is what keeps the LLC in good standing.

Corporations File By May 15

For-profit corporations file an annual report by May 15. Along with the agent and registered office details, it lists the corporation's officers and directors, so changes made during the year need to be caught first.

Changes Caught Before They Are Filed

A new officer, a new address or a change of agent should be reported correctly. We check the details with you each year rather than copying last year's filing forward and hoping nothing moved.

What A Missed Filing Costs

A late filing brings a state penalty and costs the entity its good standing. Let it slide long enough and a corporation can be dissolved automatically, which is a much bigger job to undo.

Why Good Standing Comes Up At The Worst Moment

Nobody asks about good standing when things are calm. It comes up when you apply for a loan, sign a commercial lease, bring in a partner or sell the business. Those are exactly the moments when a lapsed filing turns into a delay, and sometimes into a closing that waits on paperwork.

When we already keep your books and prepare your returns, the annual filing is one more date on the same calendar as your S corporation tax return or partnership return on Form 1065. If you also trade under a registered assumed name, its renewal goes on that calendar too.

What Comes Off Your List Every Year

The filing itself is brief. The value is that nobody on your side has to remember it.

  • Your entity's filing date tracked on our calendar, not yours
  • Agent, registered office, officer and director details confirmed with you before filing
  • The annual statement or annual report prepared and submitted to the State of Michigan on time
  • The filed confirmation saved to your permanent records
  • Help getting a certificate of good standing when a bank, buyer or landlord asks for one
  • Catch-up filings for earlier years when an entity has already fallen behind

Annual Filing Questions We Hear Every Winter

Is the annual report the same as my tax return?

No. The annual statement or report goes to the State of Michigan and keeps the entity itself in good standing. It has nothing to do with income. Your federal and Michigan tax returns are separate filings with separate deadlines, which is why we keep them all on one calendar.

What if we already missed a year or two?

It is fixable, and sooner is better. The missed filings can be submitted along with any penalty the state assesses, which puts the entity back in good standing. If a corporation has already been dissolved for not filing, there is an extra step to bring it back, and we will walk you through what that involves.

Do sole proprietors file an annual report?

No. A sole proprietorship has no entity on file with the State of Michigan, so there is no annual statement or report to submit. If you trade under an assumed name, though, that registration with the county clerk still has to be renewed periodically.
